General Terms

Eligibility requirements: Purchasers must be a currently licensed health care professional that has graduated from an accredited professional school. State sales tax: State sales tax at a rate of 8.75% is automatically charged to all California residents unless they provide Hepapro with a State sales tax exemption number.

Payment Terms

Pricing: Prices for Products are Hepapro’s standard and customary prices on the date of the invoice, as adjusted and amended by HepaPro from time to time in its sole discretion.

All prices are expressed and payable only in U.S. dollars. HepaPro reserves the right to adjust Product prices without notice.

Payment Terms: All amounts owing for purchased Products are fully due and payable at the time of shipment. Accepted forms of payment are cash, money order, Visa and Master Card.

Minimum Orders: The professional price minimum purchase required for all orders is $150.00.

Delivery

Delivery: All Products are delivered FOB HepaPro. Consequently, all risk of loss passes to the purchaser once HepaPro duly delivers the Products to the designated carriers.

Transportation costs: All orders are shipped from Southern California via US Postal Service (priority mail) unless otherwise requested. HepaPro charges a flat fee of $9.50 for standard shipping and handling of each order. For express mail use FedEx only. the fee are subject to rates.

Packing List Check: The purchaser is responsible to carefully check the packing list against the package contents and confirmed order to verify the conformity of the shipment.

Freight Damage Claims: Since all products are sold FOB HepaPro, the purchaser is fully and solely responsible for the filing and processing of any claims for damage or loss of the products during transit.

Product Returns

HepaPro Prior Authorization: Products may not be returned for any reason without the prior written notification and authorization from HepaPro. All written notices requesting to return Products will provide a detailed statement of the basis for the return, be accompanied by appropriate documentation,

and be submitted to HepaPro no later than thirty (30) days after actual receipt thereof. For purposes of any sale and purchase of Products, the parties agree that a term of thirty (30) days after the purchaser has possession of the products is a reasonable time for the purchaser to conduct an inspection of the Products and determine their acceptability and usefulness. Unless HepaPro agrees otherwise, Product returns are subject to a restocking fee equal to 25% of the sales price of the returned product. The purchaser shall comply with HepaPro’s instructions with respect to the return or disposal of any Products. Products Unacceptable for Return Unless otherwise agreed, HepaPro will not accept the return of the following Products:

Products that have been in the purchasers possession for more than thirty (30) days;

Products that are beyond their expiration date;

Products that are not listed in HepaPro’s current catalog;

Products manufactured under a special order or otherwise labeled as “Special Order”, “Bonus”, “Sample”, “Test”, or “Evaluation”.

Products that have been damaged or affected by fire, water, collision or other uncontrollable conditions during transit.

Products that were not purchased directly from HepaPro.

Products that have been exposed to use and the possibility of contamination.

Products that have any stickers, writing or other markings that were not present in the original shipment.

Express Limited Warranty

All Products sold by HepaPro are expressly warranted by HepaPro to conform to the specifications set forth on applic able product labels or specification sheets. If any Product fails to comply with the foregoing express limited warranty, Hepapro shall, in its discretion, either (1) replace the defective product with conforming Product, or (2) issue a full refund of the purchase price of the defective product, or (3) take such action as the parties may mutually agree. This express limited written warranty is exclusive and in lieu of all other express and implied warranties, whatsoever, including but not limited to implied warranties of merchantability and fitness for particular

purpose. Under no circumstances shall HepaPro be subject to any consequential, incidental, indirect, or contingent damages whatsoever with respect to claims made hereunder or by any customer or user of the Products. The maximum amount for which HepaPro shall be liable to any person or entity with respect to defective Products is expressly limited to the aggregate value of the defective Products determined by the price paid by the claimant and evidenced by appropriate documentation.


General Terms of Sale: HepaPro Customer
